It is at the shareholders' meetings that decisions of companies are made: to appoint or remove directors, to approve the issue of shares, to have dividends declared, to alter the articles of association or memorandum of association and to resolve other matters relating to the company. This book examines the whole meeting process which includes the notice of meeting, quorum issues, amendment of motions, proxies, voting on a show of hands or by poll and matters pertaining to an annual general meeting (AGM) and extraordinary general meeting (EGM).
