 This book is a completely revised and updated edition of the work which was first published in 1988. Since then, the Singapore Companies Act has been amended six times with major additions in 1989 and 1993. The output of the courts have also increased tremendously. Where before one set of reports sufficed for both Singapore and Malaysia, today there are separate sets of reports for both countries. In addition, both the quality and quantity of judicial precedents have increased. In this edition, the author has incorporated local cases up to July 1997 and added comparative material from Australia and the UK. Many parts of the book have been re-written in the light of changes in the statutes and cases and on the basis of the author's experience in the last nine years as an advocate and solicitor, company director and parliamentarian.
