Surprisingly, this boom generated few, if any, suitable reference books for practitioners and others involved in the takescpver process. The standard works on company law largely ignore the detailed practice and procedure involved in the acquisition of control of ,a public listed company and the, standard text in the United King-dom in this field (no equivaleht standard text in Singapore and Hong Kong) was published almost a decade ago. The book is designed to fill this gap. Although intended primarily for practitioners and merchant bankers, it is hoped that company directors, company secretaries and others involved in the take-over process will find material of interest to them. A detailed treatment is also given to the requirements imposed by the London, Singapore and Hong Kong Stock Exchanges. Although not directly relevant in the context of take-overs and mergers, a fairly detailed treatment is given to provisions relating to share disclosure in the companies legislations. For the sake of completeness, the compulsory acquisition provisions in the companies legislations are also dealt with. An important feature of the book is, the 28 Appendices. The first 11 Appendices set out the principal regulations governing take-overs and mergers. The remaining Appendices concentrate on practice and proce-dure. They include a summarised time-tablet a detailed preliminary check-list, a form of an offer document in Singapore and forms of various documents required in a take-over transaction.
