520 | # | # | |a The nation's industry and commerce. and with it the hope of prosperity and employment, depend upon a legal Institution known as the limited liability company: Created in the 1850s, it has remained in operation, virtually unaltered, ever since. Today we have a company law that is over a century old and hopelessly out of date. It stands in the way of efficiency and inhibits the sense of common purpose which the Japanese and West Germans have made their own. As George Goyder so clearly demonstrates, our company law is not simply archaic; it is unnatural. A law originally designed for family business is now being used to cover the activities of giant conglomerates with powers equivalent to those of sovereign states. But what is particularly unjust and unnatural is the exclusion of workers from any part in the government of the company, and the legally sanctioned indifference of companies to the interests of the consumers of their products and the needs of the communities in which they operate.. The time has come for a change and a fresh vision. If democracy is to survive, it must be brought into the workplace. Mr Goyder shows how this can be done without either invoking the spectre of Marxism or heralding the decline of the City. There is a third way: to follow the natural law and legislate to create the Just Enterprise. George Goyder's ideas are fresh and Innovative and his book will undoubtedly provoke controversy. It brings into sharp focus the social and human problems of industry which have been ignored for far too long. |
